These Terms & Conditions (“Terms”) govern your access to and use of willardtax.com (the “Site”), operated by Willard Tax & Financial (“Willard,” “we,” “us,” or “our”). Please read them carefully. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
1. Acceptance of Terms
By accessing or using the Site, you represent that you are at least 18 years old and agree to these Terms and our Privacy Policy. We may update these Terms at any time, and your continued use of the Site constitutes acceptance of the revised Terms.
2. Informational Purposes Only; No Professional Advice
The content on the Site is provided for general informational purposes only and does not constitute tax, accounting, legal, investment, or financial advice. It is not a substitute for professional advice tailored to your specific situation.
Using the Site, submitting the contact form, or communicating with us does not create an accountant-client, advisor-client, or other professional engagement. A professional relationship is formed only through a separate, written engagement agreement signed by Willard and the client.
3. No Offer of Securities
Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to buy, any security or investment product, or a recommendation of any investment strategy.
Securities and investment-advisory services, where offered, are provided through LPL Financial, member FINRA/SIPC. The LPL Financial registered representative associated with the Site may discuss and/or transact securities business only with residents of the states in which he is properly registered or licensed — currently AZ, CA, CO, GA, ID, IL, NV, NY, TX, and VA. No offers may be made to or accepted from residents of any other state.
4. Eligibility
The Site is intended for users located in the United States who are at least 18 years old. You are responsible for complying with all laws applicable to your access and use of the Site.
5. Acceptable Use
You agree not to:
- Use the Site for any unlawful purpose or in violation of these Terms;
- Attempt to gain unauthorized access to the Site, its servers, or related systems;
- Introduce malware or interfere with the proper functioning or security of the Site;
- Scrape, harvest, or collect information from the Site by automated means without our written permission; or
- Misrepresent your identity or affiliation with any person or entity.
6. Intellectual Property
The Site and its content — including text, graphics, logos, the Willard Tax & Financial name and marks, images, and design — are owned by or licensed to Willard and protected by intellectual-property laws. You are granted a limited, non-exclusive, non-transferable license to view the Site for personal, non-commercial use. You may not copy, reproduce, distribute, or create derivative works without our prior written consent.
7. Third-Party Links and Services
The Site links to third-party services, including our secure client/tax portal and our payment processor (CPACharge), as well as scheduling and other tools. Your use of those services is governed by their own terms and privacy policies. We are not responsible for the availability, content, or practices of third-party services.
8. Client Portal and Payments
Access to the client/tax portal and online payments is provided through third-party platforms and may be subject to additional terms presented at the point of use. You are responsible for maintaining the confidentiality of your portal credentials.
9. Disclaimers
The Site and its content are provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that any information on the Site is current, complete, or accurate.
10. Limitation of Liability
To the fullest extent permitted by law, Willard and its owners, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from or related to your use of — or inability to use — the Site, even if advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited under applicable law.
11. Indemnification
You agree to indemnify and hold harmless Willard and its owners, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Site or your violation of these Terms.
12. Privacy
Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
13. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Site will be resolved in the state or federal courts located in Orange County, California, and you consent to their jurisdiction.
14. Changes to These Terms
We may revise these Terms at any time by posting an updated version on this page. The “Effective date” above indicates when they were last revised. Your continued use of the Site after changes are posted constitutes acceptance.
15. Severability and Entire Agreement
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Willard regarding your use of the Site.
